1. Agreement to Terms

By accessing or using the website ownyourdemand.com (the "Site"), creating an account, or using the services of Fairfax Ventures LLC, doing business as OwnYourDemand.com ("OwnYourDemand.com," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or our services.

2. Services

OwnYourDemand.com provides a platform that lets independent vehicle fleet operators build and host a branded, direct-booking website, built in part from fleet data synced from a booking provider the operator connects (such as Wheelbase). We also offer optional growth services (such as local search and paid advertising) and automation services. The specific plan, fees, and any add-ons applicable to you are presented at sign-up or in a separate order or agreement. These Terms govern your general use of the Site and our services; where a separate order or service agreement applies, it governs the specifics of that engagement.

3. Use of the Site

You agree to use the Site and our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site or services in any way that violates any applicable law or regulation
• Attempt to interfere with or disrupt the Site, the websites we host, or their servers
• Use any automated system to access the Site without our express written permission
• Introduce any viruses, malware, or other harmful material
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

4. Accounts

To use our services as an operator, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use. We may suspend or terminate accounts that contain false information or are used in violation of these Terms.

5. Intellectual Property

The Site, the platform, and their contents, including but not limited to templates, software, text, graphics, and logos, are the property of OwnYourDemand.com and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the platform and the website we host for you for the duration of your subscription. You may not copy, reproduce, distribute, or create derivative works from the platform or its underlying software without our prior written consent.

You own the content and data you provide or generate through your use of the services, including your brand assets, copy, photos, vehicle information, and the records your site produces in normal operation. OwnYourDemand.com retains ownership of the underlying platform, templates, software, architecture, and reusable components used to deliver the service. You grant us the rights necessary to host, operate, and maintain your site and to provide the services you have signed up for.

6. Operator Responsibilities

When using our services, you agree to:

• Provide accurate and current information about your business, fleet, and pricing
• Ensure you have the right and authority to share any content, data, or accounts you connect (including your booking provider account)
• Comply with the terms of any third-party services you connect, including your booking provider (such as Wheelbase)
• Operate your rental business in compliance with all applicable laws and regulations
• Pay all fees as presented at sign-up or in your applicable order or agreement

7. Bookings and Third-Party Services

Reservations, deposits, payments, and other rental transactions made by renters on the websites we host are processed by the operator's booking provider (such as Wheelbase) under that provider's own terms and policies. OwnYourDemand.com provides the website layer and is not a party to, and is not responsible for, the rental transaction or relationship between an operator and a renter. Your use of a connected booking provider is governed by that provider's terms.

8. Payment Terms

Fees, billing cycles, and any one-time charges are presented at sign-up or in your applicable order. Unless otherwise stated, subscriptions renew automatically for successive periods until canceled, and payments are processed through our third-party payment processor. You authorize us to charge your payment method for all applicable fees. Late or failed payments may result in suspension or deactivation of your site. Except as required by law or expressly stated at sign-up, fees are non-refundable.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the relationship, including business processes, customer data, and technical specifications. This obligation survives the termination of your account or any applicable agreement.

10. Limitation of Liability

To the fullest extent permitted by law, OwnYourDemand.com and its members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, bookings, or business opportunities, arising out of or related to your use of the Site, the websites we host, or our services.

Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you to OwnYourDemand.com in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Site and our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or the websites we host will be uninterrupted, error-free, or secure, or that our services will produce any specific number of bookings, search rankings, or business results.

12. Indemnification

You agree to indemnify, defend, and hold harmless OwnYourDemand.com and its members, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Site or services, the operation of your rental business, your breach of these Terms, or your violation of any law or the rights of any third party.

13. Termination

You may cancel your subscription at any time as described in your account or order. We may suspend or terminate your access to the Site or services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. On termination, your hosted website may be deactivated; we will make your content and data available for a reasonable period to allow export, after which it may be deleted.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Texas.

15. SMS Messaging

OwnYourDemand.com may send SMS text messages to individuals who have provided their phone number and consented to receive communications from us, or who have enabled automation services that use messaging. This program is used for account, support, and service communications.

Carriers are not liable for delayed or undelivered messages. Opting out of SMS will not affect other communications from us unless you separately request that.

16. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Site or our services after any changes constitutes your acceptance of the updated Terms.
